1. Introduction
These Terms and Conditions ("Terms") govern your use of the Edmanly mobile application, website, and related services (collectively, the "Service"), operated by Edmanly LLC, a limited liability company registered in the Arab Republic of Egypt under Commercial Registration No. 290693 ("Edmanly," "we," "us," or "our").
By creating an Edmanly account, downloading our app, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms form a legally binding agreement between you ("User," "you," or "your") and Edmanly. Please read them carefully.
2. About the Service
Edmanly is a peer-to-peer ("P2P") escrow platform that helps two individuals or businesses safely complete a transaction involving the exchange of money for goods or services. We act as a neutral third party that:
- Holds the buyer's funds in a secured escrow account.
- Releases those funds to the seller only after agreed conditions are met.
- Provides a structured dispute-resolution process if the parties disagree.
Edmanly is not a bank, lender, or payment institution. We do not offer credit, savings, investment, or money-transfer services unrelated to a specific escrowed transaction between two identified parties.
Edmanly is not a party to the underlying transaction between buyer and seller. We do not own, inspect, verify the quality of, or take possession of the goods or services being exchanged. The agreement on what is being bought, sold, delivered, or performed is solely between buyer and seller.
3. Eligibility
To use the Service, you must:
- Be at least eighteen (18) years old and have full legal capacity to enter into binding contracts under the law applicable to you;
- Be a natural person acting on your own behalf, or an authorized representative of a registered legal entity;
- Reside in a jurisdiction where the Service is offered (initially the Arab Republic of Egypt);
- Not be subject to any sanctions list maintained by the United Nations, the European Union, the United States Office of Foreign Assets Control, or the Egyptian authorities;
- Successfully complete our identity verification ("KYC") process.
We reserve the right to refuse service, suspend, or terminate any account at our discretion in accordance with these Terms and applicable law.
4. Account Registration and Verification
4.1 Account creation
You must create an Edmanly account to use the Service. You agree to provide accurate, current, and complete information and to keep it updated.
4.2 Identity verification (KYC)
Before transacting on Edmanly, you must complete identity verification, which is performed through our third-party verification provider (Didit). You agree to provide a valid government-issued identification document, a live photograph, and any additional information required by applicable anti-money-laundering ("AML") and counter-terrorism-financing ("CTF") regulations.
4.3 Phone verification
We use third-party services (Akedly) to verify your phone number. You consent to receive verification SMS and to the processing of your phone number by these providers.
4.4 Account security
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@edmanly.net if you suspect unauthorized access. We are not liable for losses caused by your failure to safeguard your credentials.
4.5 One account per user
You may not maintain more than one Edmanly account without our written permission. We may merge or close duplicate accounts.
5. How Escrow Works
5.1 Creating a transaction
A buyer or seller initiates an escrow transaction in the app, specifying:
- The other party (by phone, email, or Edmanly handle);
- The goods or services involved;
- The agreed price and currency;
- Delivery deadlines and acceptance conditions;
- Any other terms the parties wish to record.
The counterparty must review and accept the transaction terms before it becomes active.
5.2 Funding
Once both parties accept, the buyer funds the escrow by transferring the agreed amount, plus applicable fees, to Edmanly via the supported payment methods. Funds are held in a segregated escrow account and are not commingled with Edmanly's operating funds.
5.3 Release
When the buyer confirms receipt and acceptance of the goods or services, Edmanly releases the funds to the seller, less applicable fees, within 3–5 business days. If the buyer does not respond within the agreed inspection period, the funds may be released automatically per the terms accepted by both parties.
5.4 Cancellation
A transaction may be cancelled by mutual agreement before goods or services are delivered. Cancelled and unfunded transactions incur no fee. Cancellation of a funded transaction may incur a processing fee disclosed at the point of cancellation.
6. Fees
Edmanly charges a service fee for each successful escrow transaction. The exact fee is shown clearly in the app before the buyer funds the escrow. By funding a transaction, you agree to the fee disclosed at that time.
We may revise our fee schedule from time to time. Updated fees apply to transactions created after the change takes effect and are reflected in the app.
7. Payment Methods
Payments into and out of the escrow are processed by licensed third-party payment service providers. Edmanly does not store full payment card numbers on its systems. By using a payment method, you authorize Edmanly and its processors to charge or credit that method according to your transaction.
All purchases on Edmanly are for goods and services consumed outside the application (Apple App Store Guideline 3.1.5(a)). Payments are therefore processed via our payment partners and are not subject to Apple's in-app purchase system.
8. User Obligations
You agree that you will:
- Use the Service only for lawful purposes and only for transactions involving legitimate goods or services;
- Provide truthful and complete information to your counterparty about the goods or services being exchanged;
- Deliver goods or perform services as agreed with your counterparty;
- Not use Edmanly to launder money, evade taxes, finance terrorism, or facilitate any illegal activity;
- Not impersonate any person or entity;
- Not interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying infrastructure;
- Comply with all applicable laws of the Arab Republic of Egypt and any other jurisdiction relevant to your transaction.
9. Prohibited Transactions
You may not use Edmanly to transact in, or in connection with:
- Illegal drugs, controlled substances, or unregulated pharmaceuticals;
- Weapons, ammunition, or military equipment;
- Stolen goods, counterfeit items, or goods that infringe intellectual property rights;
- Sexual content, sexual services, or any service exploiting minors;
- Gambling, betting, or speculative financial instruments;
- Cryptocurrencies, digital assets, NFTs, or tokenized securities (unless and until Edmanly explicitly enables and licenses this functionality);
- Lending, interest-based products, or any service whose primary nature is the extension of credit;
- Human trafficking, surrogacy contracts, or organ trade;
- Goods or services whose sale is restricted by the laws of Egypt or your jurisdiction;
- Transactions designed to circumvent sanctions or export controls.
We may refuse, suspend, or reverse any transaction that we reasonably believe falls into the above categories or otherwise violates these Terms or applicable law.
10. Reporting and Blocking
You can report a user, a transaction, or any content on Edmanly that you believe violates these Terms or applicable law through the in-app reporting feature. We aim to review reports within twenty-four (24) hours and will take appropriate action, which may include warning, suspending, or banning the offending user.
You may also block any other Edmanly user from contacting you or initiating transactions with you, at any time, from your account settings.
11. Dispute Resolution Between Users
11.1 Direct resolution
If a disagreement arises between buyer and seller, the parties are encouraged to resolve it directly through the in-app messaging feature.
11.2 Edmanly-mediated dispute
If direct resolution fails, either party may open a formal dispute through the app. When a dispute is opened, the funds remain locked in escrow and neither party can release or withdraw them.
Each party must submit evidence (messages, photos, delivery receipts, etc.) within 3–5 business days. Edmanly will review the evidence and issue a binding decision within 3–5 business days of the deadline.
11.3 Edmanly's decision
Edmanly's role in the dispute is administrative, not judicial. Our decision is made based on the evidence submitted and the agreed transaction terms. By using the Service, you agree to be bound by our dispute-resolution outcome, without prejudice to any legal rights you may have outside the Service.
11.4 Recourse to courts
Nothing in these Terms prevents either party from seeking legal recourse through the Egyptian courts.
12. Refunds
Where Edmanly's decision (or mutual cancellation) results in the buyer being refunded, refunds are issued to the original payment method within 3–5 business days, less any applicable fees disclosed in advance.
13. Tax Responsibilities
You are solely responsible for determining what taxes apply to your transactions and for reporting and paying them to the appropriate tax authorities. Edmanly does not provide tax advice. We may issue you transaction records to support your tax filings.
14. Intellectual Property
The Edmanly app, website, brand, logos, designs, and all related content are owned by Edmanly LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, reverse-engineer, or create derivative works of the Service without our prior written consent.
15. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
- Edmanly is not responsible for the quality, safety, legality, or delivery of any goods or services exchanged through the Service.
- Edmanly's total aggregate liability to you, for any claim arising out of or in connection with the Service, is limited to the total fees you paid to Edmanly in the twelve (12) months preceding the event giving rise to the claim.
- Edmanly is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits or business opportunity.
Nothing in this section limits any liability that cannot be excluded under Egyptian law.
16. Indemnification
You agree to indemnify and hold harmless Edmanly, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: your use of the Service; your transactions with other users; your breach of these Terms; or your violation of any law or third-party right.
17. Termination
17.1 By you
You may close your account at any time through the Delete Account option in the app. If you have any active or pending transactions, they must be completed or cancelled before deletion. Account deletion is permanent and results in the removal of your personal data, subject to legal retention requirements described in our Privacy Policy.
17.2 By Edmanly
We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or pose a risk to Edmanly or other users. Where lawful, we will explain the reason.
17.3 Effect of termination
On termination, your right to use the Service ends immediately. Provisions that by their nature should survive (including fees owed, intellectual property, indemnification, limitation of liability, governing law, and dispute resolution) survive termination.
18. Changes to the Service or Terms
We may modify the Service or these Terms at any time. If we make material changes, we will notify you through the app or by email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not accept the changes, you must stop using the Service and close your account.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute arising out of or in connection with these Terms or the Service that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent Egyptian courts in Cairo.
20. Prevailing Language
These Terms are made available in both Arabic and English. In the event of any conflict or inconsistency between the two versions, the Arabic version shall prevail for users residing in the Arab Republic of Egypt.
21. Miscellaneous
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
No waiver. Our failure to enforce any right under these Terms does not constitute a waiver of that right.
Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Entire agreement. These Terms, together with our Privacy Policy and any transaction-specific terms, constitute the entire agreement between you and Edmanly.
